Vibespot Terms of Use

Welcome to Vibespot. These Terms of Use (the "Terms") are a legally binding agreement between you and Vibespot, LLC, a Delaware limited liability company ("Vibespot," "we," "us," or "our"). They govern your access to and use of our websites, mobile applications, web dashboard, and related services (collectively, the "Platform").

Please read these Terms carefully. By creating an account, submitting content, or otherwise accessing or using the Platform, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Platform.

1. What Vibespot Is

Vibespot is a location-based discovery platform. We help people discover events, activities, experiences, places, businesses, promotions, and other locally relevant opportunities, presented today primarily through an interactive map.

The map is how the Platform is experienced today; it is not a limit on what the Platform is. The Platform may be offered through additional interfaces and technologies over time, and these Terms apply to all of them.

The Platform is available to users around the world. Some features, content, or programs may vary by location or may not be available in every region.

2. Definitions

"Vibe" means any discoverable listing or post on the Platform, including events, activities, experiences, performances, classes, promotions, community gatherings, recurring opportunities, seasonal offerings, points of interest, and other locally relevant information. A Vibe is an informational listing. It does not imply that Vibespot endorses, verifies, sponsors, or guarantees the underlying event, place, business, or activity.

"Content" means any text, images, photos, video, audio, graphics, logos, descriptions, schedules, coordinates, metadata, and other information or materials made available on or through the Platform.

"User Content" means Content that you or other users submit to the Platform, including Vibes you post.

"Account" means a registered Vibespot user account.

"Organizer" means any person or organization that creates, submits, or manages Vibes, including individuals, businesses, venues, artists, promoters, nonprofits, schools, tourism organizations, and municipalities.

"Points" means the Platform's internal point system, including points earned through user engagement (such as likes) and boost points assigned to Vibes.

3. Eligibility

You must be at least 13 years old to use the Platform. If you are under the age of majority where you live, you may use the Platform only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Platform, you represent that you are legally capable of entering into a binding agreement and that your use complies with all applicable laws. If you use the Platform on behalf of a business, organization, or government entity, you represent that you have the authority to bind that entity to these Terms, and "you" includes that entity.

4. Your Account

Certain features, including posting Vibes, require an Account. When you create an Account, you agree to:

provide accurate and current information and keep it up to date;
keep your login credentials secure and confidential;
notify us promptly at support@vibespot.com of any unauthorized use of your Account; and
accept responsibility for all activity that occurs under your Account.

Verification. To protect the Platform against spam and abuse, certain features require verification. In particular, before you can post Vibes, you must verify a valid phone number by entering a one-time code we send you by text (SMS) message. We may decline, suspend, or revoke posting privileges for Accounts that cannot be verified, and we may introduce additional or alternative verification methods in the future. Verification helps us maintain a trustworthy platform; it is not a guarantee of any user's identity, and Vibespot makes no representation that any Account belongs to any particular person or organization.

You may not impersonate any person or organization, create an Account using false information, use a phone number you are not authorized to use, create Accounts through automated means, or sell, rent, or transfer your Account without our written permission. We may require reasonable verification of your identity or your authority to represent an organization.

5. Account Tiers, Limits, and Restrictions

The Platform uses account tiers. Different tiers may have different capabilities and limits, including, for example:

the number of Vibes an Account may have active at one time;
the default boost Points assigned to a newly posted Vibe;
the geographic radius within which an Account may post (for example, some Accounts may post only near their current location, while others may post over a wider area); and
other features, limits, or restrictions we establish.

Tiers, limits, and restrictions are set, adjusted, and administered by Vibespot in our sole discretion. We may apply custom limits or restrictions to any Account at any time, and we may add, change, or remove tiers or their associated benefits. You may request a higher tier or expanded limits by contacting us; granting any such request is entirely within our discretion, and no tier, limit, or benefit creates any entitlement, property right, or expectation of continued availability.

6. Points, Likes, and Boosts

The Platform includes an engagement system in which Vibes can accumulate Points, which may influence how prominently a Vibe appears on the Platform. Points may come from multiple sources where features permit, including likes from other users, boost Points assigned based on account tier, and, where we offer such features, boosts applied to a Vibe by its creator or by other users, including through paid boost features. A boost applied by any user does not imply endorsement or verification by Vibespot, and a boost applied by someone other than a Vibe's creator does not give that person any rights in the Vibe.

You acknowledge and agree that:

Points have no monetary value, are not property, and cannot be redeemed for cash;
Points may not be sold, transferred, exchanged, or purchased except through features we expressly offer;
we may from time to time grant Accounts a limited number of complimentary boosts for promotional purposes; any such complimentary boosts are discretionary, may expire, may carry usage conditions, may be modified or withdrawn at any time, and have no cash value;
we may adjust, recalculate, cap, expire, or reset Points at any time, for any Account or Vibe, including to correct errors or address manipulation; and
Points influence, but do not determine or guarantee, how prominently a Vibe appears. How Points translate into visibility, ranking, size, or presentation is determined by Vibespot in its sole discretion and may change at any time. Among other things, we may weight, scale, distribute, amortize, or ramp the effect of Points over time, including based on when a Vibe occurs, how long it will remain visible on the Platform, its relevance, location, quality, and other signals. The same number of Points may produce different prominence for different Vibes, and no quantity of Points, boosts, or paid promotion guarantees any particular placement, prominence, duration of visibility, engagement, attendance, or other result.

You may not artificially inflate Points or engagement, including through fake accounts, coordinated or incentivized liking schemes, bots, scripts, or any other manipulation. We may remove Points, Content, or Accounts involved in manipulation.

7. Posting Vibes and Other User Content

You are solely responsible for the User Content you submit, including its accuracy, legality, and timeliness. When you post a Vibe or other User Content, you represent and warrant that:

the information is accurate and not misleading at the time you post it;
you own the Content or have all rights and permissions necessary to post it and to grant the license in Section 8, including rights to any photos, logos, artwork, descriptions, and custom icons or images you upload to represent a Vibe on the map;
if the Vibe relates to an event, business, or organization, you have the authority to post on its behalf or the information is otherwise lawfully available for you to share; and
your Content does not violate any law or the rights of any third party, including intellectual property, privacy, and publicity rights.

If material details of a Vibe you posted change (for example, an event is canceled, rescheduled, or relocated), you agree to update or remove the Vibe promptly.

Vibes and most User Content are public. Do not post anything you do not want visible to other users and the general public.

8. License to Your User Content

You retain ownership of your User Content. So that we can operate the Platform, you grant Vibespot a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, use, reproduce, display, perform, distribute, adapt, modify, translate, excerpt, and create derivative works of your User Content, in any media or technology now known or later developed, for the purposes of operating, providing, improving, promoting, and developing the Platform and our services.

This license continues for as long as your User Content remains on the Platform, and survives thereafter only to the extent reasonably necessary for: (a) copies retained in routine backups or archives; (b) Content that has been merged into, or used to derive, aggregated or enriched Platform data (such as deduplicated or normalized listings); (c) Content that other users have shared or interacted with through Platform features; and (d) our compliance with law and enforcement of these Terms.

We do not claim ownership of your User Content, and this license does not transfer ownership to us.

9. Curation, Organization, and Moderation

A core function of the Platform is organizing local information so it is useful and trustworthy. You agree that Vibespot may, with respect to any Content on the Platform:

edit, reformat, categorize, tag, geocode, or normalize it;
merge or consolidate duplicate or overlapping listings;
correct, enrich, translate, or summarize it, including through automated or AI-assisted processes;
determine how, where, and whether it is displayed, ranked, or featured; and
remove, suppress, restrict, or decline to publish it, in whole or in part, at any time and for any reason, including if we believe it is inaccurate, unlawful, infringing, low quality, duplicative, or inconsistent with these Terms.

We have the right, but not the obligation, to monitor or moderate Content. We are not responsible for any User Content, and moderation actions we take or decline to take do not make us responsible for it.

10. Sources of Platform Information

Information displayed on the Platform may come from many sources, including users, Organizers, businesses, municipalities, tourism organizations, public websites and calendars, licensed third-party datasets, partner feeds, APIs, event and festival sources from around the world, manual curation, and automated collection processes conducted in accordance with applicable law.

Vibespot does not guarantee the accuracy, completeness, or timeliness of information from any source. See Section 14 (No Guarantee of Accuracy).

11. Organizers, Businesses, and Partners

If you post or manage Vibes for a business, venue, event, or organization, you additionally agree that:

you have the authority to represent that business or organization on the Platform;
you are responsible for the accuracy of listings you manage, including dates, times, locations, prices, age restrictions, and admission requirements, and for promptly reflecting cancellations and changes;
you have the rights necessary to use any names, logos, photos, and promotional materials you submit; and
you are solely responsible for the events, goods, and services you offer, including compliance with all applicable laws, permits, and safety requirements. Vibespot is not a party to any transaction or arrangement between you and attendees or customers.

Vibespot may offer partnership programs for businesses, municipalities, tourism organizations, and other partners, which may include enhanced tiers, features, or benefits (for example, benefits extended to merchant Accounts associated with a participating city). Any such program may be subject to additional terms presented at the time, which will supplement these Terms. Partnership inquiries may be directed to partners@vibespot.com.

12. Promoted Content and Paid Services

The Platform supports both organic discovery (visibility earned through relevance, engagement, and Points) and promoted discovery (visibility enhanced through tiers, boosts, or paid features).

As of the Last Updated date above, Vibespot does not process payments on the Platform, and tier upgrades are handled manually upon request. We may introduce paid features in the future, such as paid tiers, paid boosts (including, where offered, the ability to boost Vibes posted by others), promoted placements, subscriptions, or partner programs. If we do, the following will apply in addition to any terms disclosed at the time of purchase:

pricing and any additional terms will be disclosed before you purchase;
all purchases are final and non-refundable to the maximum extent permitted by applicable law, except where we expressly state otherwise at the time of purchase or a refund is required by law. Paid boosts, promotions, tier upgrades, and similar virtual features are consumed upon or promptly after purchase and are not eligible for refunds, including if the associated Vibe is later edited, canceled, rescheduled, removed (including for a violation of these Terms), or expires, or if the results differ from your expectations;
if we offer subscriptions or recurring paid tiers, you may cancel at any time; cancellation stops future billing, and you retain the paid features until the end of the period you have already paid for, with no refunds or credits for partial periods;
purchases made through a third-party app store (such as Apple's App Store or Google Play) are also subject to that store's terms, billing, and refund policies, and refund requests for such purchases may need to be directed to the store;
paid promotional placements will be identified as such where required by applicable law;
paid promotion enhances visibility but does not guarantee any particular placement, prominence, engagement, attendance, or result (see Section 6); and
paid promotion will not exempt any Content from these Terms, our moderation rights, or our accuracy expectations.

13. Acceptable Use

You agree not to use the Platform to:

violate any applicable law or regulation, or the rights of any third party;
post Vibes or other Content that is false, fraudulent, deceptive, or materially misleading, including fake events;
post Content that is defamatory, obscene, pornographic, hateful, harassing, threatening, or that incites violence or discrimination;
post Content that exploits or endangers minors in any way;
advertise or facilitate illegal goods, services, or activities;
send spam or unauthorized commercial communications, or harvest information about other users;
impersonate any person or entity, or misrepresent your affiliation with any person or entity;
manipulate Points, likes, rankings, or engagement (see Section 6);
interfere with, disrupt, or place undue load on the Platform, or introduce viruses or other harmful code;
probe, scan, or test the vulnerability of the Platform, or bypass any security or access controls, except through responsible disclosure to security@vibespot.com;
scrape, harvest, or systematically extract Platform data, or use the Platform to build a competing dataset or service, without our prior written permission; or
reverse engineer, decompile, or disassemble any part of the Platform except as permitted by applicable law.

We may investigate suspected violations and cooperate with law enforcement where appropriate.

14. No Guarantee of Accuracy; Verify Before You Go

The Platform aggregates information from many sources, and real-world information changes constantly. Events are canceled, rescheduled, relocated, and sold out; venues change hours and policies; prices and age requirements change.

Vibespot does not guarantee the accuracy, timeliness, completeness, availability, safety, legality, or quality of any Vibe, event, place, business, or other information on the Platform. This includes dates, times, locations, prices, ticket availability, cancellation status, admission and age requirements, capacity, accessibility, and venue policies. You are responsible for verifying important details directly with the event organizer or venue before making plans, traveling, or making purchases.

15. In-Person Activities and Third Parties

The Platform helps you discover real-world places and activities. Your attendance at any event and your visits to any place are at your own risk and are solely between you and the relevant organizer, venue, or business. Vibespot does not organize, host, control, or supervise the events and places listed on the Platform and is not responsible for the acts or omissions of any Organizer, venue, business, attendee, or other third party.

The Platform may contain links to third-party websites and services. We do not control and are not responsible for them, and linking does not imply endorsement. Your use of third-party sites and services is governed by their own terms and privacy policies.

16. Vibespot Intellectual Property

The Platform, including its software, design, user interfaces, maps and map presentations, ranking and discovery systems, databases, compilations of Content, and all related intellectual property, is owned by Vibespot or its licensors and is protected by United States and international law. The Vibespot name, logo, and related marks are trademarks of Vibespot, LLC, including trademark rights registered with the United States Patent and Trademark Office. You may not use our trademarks without our prior written permission.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal use or, if you are an Organizer, for the legitimate promotion of your own events and offerings on the Platform. All rights not expressly granted are reserved. This license terminates automatically if you violate these Terms.

17. Copyright and Trademark Complaints (DMCA)

We respect intellectual property rights and expect users to do the same.

Copyright notices. If you believe Content on the Platform infringes your copyright, send a notice to our Copyright Agent that includes: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Platform (URLs where possible); (c) your name, address, telephone number, and email address; (d) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature.

Counter-notification. If your Content was removed and you believe the removal was a mistake or misidentification, you may send our Copyright Agent a counter-notification that includes: (a) identification of the removed material and its prior location; (b) a statement, under penalty of perjury, that you have a good-faith belief the material was removed as a result of mistake or misidentification; (c) your name, address, telephone number, and email address; (d) a statement that you consent to the jurisdiction of the federal district court for your judicial district (or, if outside the United States, the District of Delaware) and that you will accept service of process from the person who submitted the original notice; and (e) your signature. We may restore material in response to a valid counter-notification unless the original complainant informs us that it has filed a court action.

Repeat infringers. We may suspend or terminate Accounts of repeat infringers.

Trademark complaints. If you believe Content on the Platform infringes your trademark rights (for example, unauthorized use of your business name or logo), contact copyright@vibespot.com with a description of your mark, the allegedly infringing use, and its location on the Platform.

Knowingly submitting a materially false notice or counter-notification may expose you to liability.

18. Feedback

If you send us ideas, suggestions, or other feedback about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and exploit that feedback for any purpose, without restriction or compensation.

19. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using the Platform, you acknowledge our data practices as described there. If these Terms conflict with mandatory privacy laws that apply to you, those laws control to the extent of the conflict.

20. Communications

By creating an Account, you consent to receive communications from us electronically, including by email, in-app notification, and, if you provide a phone number, text (SMS) message, relating to your Account, security, support, and the operation of the Platform. Electronic communications satisfy any legal requirement that a communication be in writing.

Marketing communications, if any, will be sent only as permitted by applicable law, and you may opt out of them at any time. You may opt out of SMS messages by following the instructions in the message or by emailing support@vibespot.com with the subject "STOP SMS" and including your phone number and username. Standard carrier rates may apply to text messages. Opting out of certain communications may limit some features.

21. Changes to the Platform and to These Terms

The Platform is evolving. We may add, modify, or discontinue features, tiers, or services at any time.

We may update these Terms from time to time. If we make material changes, we will provide reasonable advance notice, such as by posting a notice on the Platform, updating the "Last Updated" date, or emailing Account holders. Changes take effect on the date stated in the notice, and your continued use of the Platform after that date constitutes acceptance of the updated Terms. If you do not agree to updated Terms, you must stop using the Platform.

22. Suspension and Termination

You may stop using the Platform and may request closure of your Account at any time by contacting support@vibespot.com.

We may suspend, restrict, or terminate your Account or your access to all or part of the Platform, and may remove any of your Content, at any time if we reasonably believe you have violated these Terms or applicable law, created risk or possible legal exposure for us or others, or where we discontinue the Platform or relevant features. Where practicable and lawful, we will provide notice, but we may act without notice where we believe immediate action is necessary.

Upon termination, your license to use the Platform ends immediately. Sections of these Terms that by their nature should survive termination will survive, including Sections 8 (license survival terms), 9, 14 through 18, and 23 through 27.

23. Disclaimers

THE PLATFORM AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, VIBESPOT DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, VIBESPOT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT INFORMATION WILL BE ACCURATE OR CURRENT, OR THAT EVENTS OR OFFERINGS LISTED ON THE PLATFORM WILL OCCUR AS DESCRIBED.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

24. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIBESPOT AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM RELIANCE ON PLATFORM INFORMATION, FROM EVENTS OR PLACES DISCOVERED THROUGH THE PLATFORM, OR FROM INTERACTIONS WITH OTHER USERS OR THIRD PARTIES.

TO THE FULLEST EXTENT PERMITTED BY LAW, VIBESPOT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO VIBESPOT IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

25. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Vibespot and its members, managers, officers, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) your User Content; (b) your use of the Platform; (c) your violation of these Terms or applicable law; or (d) your violation of the rights of any third party. We reserve the right, at your expense, to assume the exclusive defense of any matter subject to indemnification by you, and you agree to cooperate with our defense.

26. Governing Law and Dispute Resolution

Governing law. These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.

Informal resolution first. Before filing any claim, you agree to contact us at legal@vibespot.com and attempt in good faith to resolve the dispute informally for at least thirty (30) days.

Arbitration. Except as provided below, any dispute that cannot be resolved informally will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business disputes). The arbitration will be conducted by a single arbitrator, in English, and may proceed by videoconference or, if an in-person hearing is required, in the State of Delaware or another mutually agreed location. The arbitrator may award the same relief a court could award to the individual claimant. Judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may (a) bring an individual claim in small claims court, or (b) seek injunctive or other equitable relief in court to protect intellectual property rights or prevent unauthorized access to or abuse of the Platform.

Class action waiver. To the fullest extent permitted by law, all disputes must be brought in the parties' individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding, and the arbitrator may not consolidate claims of more than one person.

Opt-out. You may opt out of this arbitration agreement by emailing legal@vibespot.com within thirty (30) days of first accepting these Terms, with the subject "Arbitration Opt-Out" and your name and Account username. If you opt out, or where arbitration is unenforceable, disputes will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction.

27. General Terms

Entire agreement. These Terms, together with the Privacy Policy and any additional terms presented for specific features or programs, are the entire agreement between you and Vibespot regarding the Platform and supersede all prior agreements on that subject, including any prior versions of these Terms.

Severability. If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.

Assignment. You may not assign or transfer these Terms or your Account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, or by operation of law.

Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.

Export and sanctions. You may not use the Platform in violation of applicable export control or sanctions laws, and you represent that you are not located in an embargoed country or on any restricted-party list.

Headings. Section headings are for convenience only and do not affect interpretation. "Including" means "including without limitation."
